# Verifying contract party details

> Automatic checking of a contracting party's identification details against the registers: company ID, registered office, officers and manner of acting.

The details in a contract header tend to be copied from the previous contract. A year later they may no longer be right – and a misidentified contracting party is a problem that surfaces in a dispute.

## The problem

Registered office, business name and officers change. The contract template does not. The result is a contract signed by someone who is no longer a director, or addressed to premises the company has left.

Checking every contract means opening the register and comparing line by line. At the volume an ordinary business handles, it does not get done.

## How FirmAPI solves it

Before generating the document, pull the current details by company ID and compare them with what your system holds. Report the difference as a warning, not a silent correction – the user should see what changed.

The same comparison can be run over contracts already signed. The list of counterparties whose details have changed since signature is usually surprisingly long.

Alongside the officer's name comes the manner of acting. If one director signs and the register requires two, the system catches it before signature.

## Comparing stored details against the register

```
$current = $api->company($party->ico)->withOrsr()->get();
$diff = array_filter([
    'name'    => $party->name    !== $current['name'],
    'street'  => $party->street  !== $current['address']['street'],
    'city'    => $party->city    !== $current['address']['city'],
]);
if ($diff !== []) {
    $contract->flagForReview(array_keys($diff));
}
```

## Frequently asked questions

### How often should details be checked?

Whenever a document is generated. For contracts already concluded it is enough to watch for changes via webhook and react when one arrives.

### Do you record a change history?

Yes. For monitored fields we record what changed and when, so you can evidence which details applied at the time of signature.
